INVESTMENT STRATEGIES

Tactical Opportunities

Some opportunities sit between traditional investment categories. Tactical investing examines a particular asset, financing need or market situation and considers the structure most suited to its economics.

Structure the capital around the situation.

An opportunity may involve a complex ownership arrangement, a financing gap or an asset whose value is not well represented by a conventional category. Flexibility widens the range of possible transactions, but also increases the need to define the investment case precisely. Complexity has value only when the underlying economics and enforceable rights justify it.

  1. Special situations

Investments associated with an identifiable business event, ownership change or unusual market circumstance.

  2. Structured capital

Negotiated instruments that combine specific payment, ownership, governance or participation rights.

  3. Cross-asset opportunities

Transactions involving more than 1 asset class or a combination of operating assets and financial claims.

Common equity, preferred equity, credit or a negotiated combination. Economic participation, control and payment priority must be assessed together.

  1. Investment catalyst

Identify the event or operating change on which the investment depends and what could prevent it from occurring.

  2. Contractual position

Map the parties, obligations, governance rights and sources of value within the transaction.

  3. Scenario analysis

Evaluate outcomes if the expected event is delayed, market conditions change or an exit is unavailable.

Complex transactions can be difficult to value and monitor. Expected catalysts may not occur, legal rights may be disputed and exit options may be limited. Concentration and unfamiliar asset exposures can magnify losses.

Is the expected outcome supported by durable economics, enforceable rights and a credible path to realization?

These considerations are illustrative and not exhaustive. Evaluate any actual investment using its own documents, terms and risk disclosures.
