LEGAL INFORMATION
Terms of Use
The terms governing access to and use of the Coutts Equity Group website.
Last updated:
Scope and acceptance
These Terms of Use apply to this website of Coutts Equity Group, referred to here as Coutts, we or us. By using the website, you agree to these terms to the extent a binding agreement may be formed under applicable law. If you do not agree, discontinue use.
These terms concern website access and content. They do not establish the terms of any investment, financing, advisory engagement or other transaction.
Information only
The website provides general information about investment disciplines, capital structures and analytical considerations. It is not investment, legal, tax, accounting or other professional advice tailored to your circumstances. Obtain advice from appropriately qualified advisers before acting on a transaction or investment decision.
You are responsible for evaluating the relevance and accuracy of information for your intended use. Descriptions of an investment approach are not recommendations to buy, sell or hold a particular investment.
No offer or transaction facility
Nothing on the website is an offer to sell or a solicitation to purchase a security, fund interest or other investment. A strategy description does not establish that a product is available or that any person is eligible to participate.
The website does not accept subscriptions, investment commitments, payments or transaction instructions. Any actual transaction requires separate documentation stating the parties, terms, fees, risks and participation requirements. Those documents govern that transaction.
No client relationship or guaranteed outcome
Viewing the website, following a link or making an introduction does not by itself create an advisory, fiduciary, client or contractual investment relationship with Coutts. Any engagement requires separate agreement.
Investments can lose value, including the entire amount invested. Private investments may be illiquid and difficult to value. The website does not guarantee returns, capital protection, financing, approval or a transaction outcome. It does not represent any specific regulatory registration, approval, assets under management or investment track record.
Permitted use and intellectual property
You may view the website and retain reasonable excerpts for your personal reference or internal business evaluation, provided you keep relevant copyright notices and do not misrepresent the source or context. Rights granted by applicable law are unaffected.
Website text, design, branding and other materials belong to Coutts or their respective owners or licensors. Except as permitted by law or an applicable license, you may not reproduce, distribute, sell or adapt substantial portions of the website for commercial publication without the relevant permission. No right to use the Coutts name or branding to imply an affiliation or endorsement is granted.
Photographs of New York are illustrative. They do not identify Coutts offices, portfolio holdings or completed transactions.
Prohibited conduct
Do not use the website for an unlawful purpose, impersonate Coutts or another person, misrepresent an affiliation, introduce malicious software, interfere with normal operation or attempt unauthorized access to systems or nonpublic information.
Do not bypass access controls or use automated requests in a way that materially disrupts the website. Do not republish website content in a manner that is misleading, removes material disclosures or infringes another person's rights. These restrictions do not prevent activity that applicable law protects.
External resources and hosting services
Links to other websites are provided for background or convenience. Third parties control their own content, availability, privacy practices and terms. A reference does not establish an affiliation, endorsement or access to another organization's products.
Any separate account or service used to access the website is governed by the terms of that service. These Terms of Use do not replace those separate terms.
Privacy and confidential information
The Privacy Notice describes the information-handling features of this website and relevant hosting considerations. These terms do not treat your use of the site as consent to a separate processing activity where specific consent is required.
The website is not a confidential document exchange. Do not attempt to submit sensitive personal information or confidential business materials through it. A separate communication channel and appropriate confidentiality arrangements should be established before such information is exchanged.
Accuracy and availability
Content may change, become outdated or contain errors or omissions. Coutts may correct, revise, restrict or discontinue all or part of the website. Availability may be interrupted by maintenance, technical issues or events outside our control.
To the extent permitted by law, the website and its content are provided as available, without warranties of uninterrupted access, accuracy, completeness or fitness for a particular purpose. Nothing in these terms excludes a warranty or responsibility that the law does not permit to be excluded.
Limits of liability
To the extent permitted by applicable law, Coutts is not liable for indirect or consequential loss, lost profits, lost business opportunities or loss of data arising from use of, or inability to use, the website or reliance on its general content.
These limitations apply only where legally permitted. Nothing in these terms excludes or limits liability for fraud, willful misconduct, gross negligence or any other liability that cannot lawfully be excluded or limited. Nothing waives a right or remedy under applicable securities laws.
Applicable law and mandatory rights
These terms are governed by the laws of the State of New York, except to the extent that mandatory laws applicable to you require otherwise. Nothing in these terms removes a nonwaivable right, remedy or protection available under applicable law.
These website terms do not impose mandatory arbitration, a class-action waiver or an exclusive court venue. Any such provision in a separate signed transaction agreement must be evaluated under that agreement and applicable law.
Changes, interpretation and questions
Updated terms will be posted on this page with a revised last-updated date. Changes apply prospectively to use after the update, subject to any notice or consent required by law. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
